Standard commercial guidelines and trade terms governing apparel sourcing, Proforma Invoices, tech-pack sampling, Japanese JIS quality inspections, and international export procedures.

1. General Provisions & Scope of Agreement

These Terms and Conditions govern all apparel sourcing, OEM/ODM manufacturing, sample development, quality assurance, and international export transactions entered into between KR Corporation ("the Company" or "Seller") and the buyer ("Buyer" or "Client"). Acceptance of a Proforma Invoice (PI) or issuance of a formal Purchase Order (PO) constitutes full agreement to these terms.

2. Quotations & Proforma Invoices (PI)

All official quotations and Proforma Invoices issued by KR Corporation are valid for thirty (30) days from issuance unless otherwise specified in writing. Prices are quoted in United States Dollars (USD) on an FOB Chittagong/Dhaka basis (Incoterms 2020), unless CIF/CFR Tokyo/Yokohama terms are explicitly agreed upon in the PI.

3. Tech-Packs, Sampling & Counter-Sample Approval

Prior to initiating bulk cutting and sewing, KR Corporation prepares counter-samples, size sets, lab dips, and Pre-Production Samples (PPS) for formal Buyer review and sign-off.

Golden Sample Rule

The signed PPS (Golden Sample) shall serve as the official standard for bulk fabric weight, stitch density, color matching, and packaging. Any technical modifications requested after PPS approval may affect bulk delivery milestones and unit costing.

4. Order Placement & Minimum Order Quantity (MOQ)

Our standard baseline MOQ is 500–1,000 pcs per style for knitwear and 1,000–2,000 pcs per style for woven & denim garments. Small test production runs (from 300 pcs) can be accommodated subject to small-lot surcharges. Orders are deemed firm only upon LC receipt or advance deposit clearance.

5. Payment Terms & Financial Instruments

KR Corporation supports standard international trade payment structures for global buyers:

Irrevocable L/C at Sight

100% Irrevocable Letter of Credit payable at sight issued by an internationally recognized prime bank.

Wire Transfer (T/T)

30% advance deposit upon PO confirmation, and 70% balance against presentation of final shipping B/L copy.

6. Japanese Quality (JIS) & 100% Needle Detection

JIS & AQL 1.0 Standard Compliance

All garments undergo 100% needle inspection via Hashima conveyor detectors (0.8mm ferrous sphere calibration) prior to polybag carton packing. Visual, dimensional, and seam strength testing adheres strictly to Japanese JIS L guidelines and AQL 1.0/1.5 acceptance levels.

7. Shipment, Incoterms & Lead Times

Bulk production lead times typically range from 45 to 75 days following final PPS sample sign-off and fabric in-house clearance. Risk and title transfer occur in accordance with the agreed Incoterms 2020 rules upon cargo delivery on board the designated vessel at Chittagong or airfreight hand-over at Dhaka (DAC).

8. Manufacturing Tolerances & Claims

Commercial measurement tolerances follow JIS standards (typically ±1.0 to ±1.5 cm depending on product type and fabric elasticity). Quantity shipping tolerance is ±3% to ±5%. Discrepancy or quality claims must be submitted in writing with supporting inspection photo reports within fourteen (14) calendar days of port destination arrival.

9. Governing Law & Arbitration

These Terms shall be interpreted in good faith under international commercial conventions. Any unresolved dispute arising out of or in connection with international supply contracts shall be settled under the Arbitration Rules of the International Chamber of Commerce (ICC) or the Japan Commercial Arbitration Association (JCAA).
